UBS issued a note to clients downgrading shares of Zymogenetics (NASDAQ:ZGEN) to Neutral from Buy but raising its target price to $9.75 from $6.50 following the announcement that it would be acquired by Bristol-Myers (NYSE:BMY). UBS analyst Jeff Elliot said, "ZymoGenetics announced that it has signed a definitive merger agreement and will be acquired by Bristol-Myers Squibb for $9.75/share or ~ $885m. This transaction has been unanimously approved by the board of directors of both companies. The $9.75/share offer represents approximately an 84% premium to yesterday's closing price of $5.30." Elliot went onto say, "Under the terms of the definitive agreement, BMY will commence a cash tender offer on or about September 9th to purchase all outstanding shares of ZGEN common stock. The closing of the tender offer is dependent upon BMY receiving equal to or greater than 56% of the outstanding shares which represents a majority of the shares on a fully diluted basis and expiration of the waiting period under Hart Scott Rodino. Additionally, ZGEN has agreed not to solicit any competing offers for the company." UBS concluded, "As a result of this deal, BMY gains full ownership of the PEG-IFN-lambda program which is currently in a phase 2b trial. The Troubles consisted of about 30 years of repeated acts of intense violence between elements of Northern Ireland's Nationalist community (principally Roman Catholic) and Unionist community (principally Protestant).
